The English version controls this legally binding agreement.
These Terms of Service ("Terms") govern your use of Zinley and its related services, operated by Zinley ("Zinley," "we," "us," or "our"). Please read these Terms carefully before using our services.
By using Zinley, you agree to be bound by these Terms. If you do not agree, you may not use our services.
Zinley is a personal AI assistant built by the Zinley team. Each account has a stable email address and public contact card. Eligible accounts in supported countries can add an optional phone line. Zinley can work in supported tools and approved devices, maintain context about people and open work, and represent you within the limits you set. It identifies itself as AI and does not pretend to be you.
These Terms apply to all individual Zinley plans (including Free, Plus, Pro, Max, and any future individual tiers). If you are using Zinley Enterprise or any team-based plan, the commercial terms provided with your Enterprise agreement apply instead.
For questions about these Terms, contact us at [email protected].
By using Zinley, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. This constitutes a legally binding agreement between you and Zinley.
If you are using Zinley on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement will be treated as the agreement of the organization.
You must be at least 18 years old (or the minimum legal age in your jurisdiction, whichever is higher) to use Zinley. By creating an account, you represent that you meet this age requirement.
Zinley is a personal AI assistant that can perform supported tasks and represent you within the permissions, rules, and limits you set. Available capabilities depend on your plan, region, connected services, and current product availability.
Zinley communicates as your AI assistant, acting with your permission and not pretending to be you. You are responsible for the instructions, permissions, limits, and connected accounts you provide. Zinley may pause or return work to you when a request is outside those limits, requires human judgment, or cannot be completed reliably.
AI generated outputs may not always be accurate, complete, or up to date. You are responsible for independently verifying information before relying on it, especially for important decisions. Zinley is here to assist you, not replace your judgment.
We strive to maintain reliable service, but cannot guarantee uninterrupted availability. Service may be temporarily unavailable due to maintenance, updates, or unforeseen issues. We will minimize interruptions and provide advance notice when possible.
We reserve the right to modify, suspend, or discontinue any aspect of Zinley at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the service without notice or liability.
To use Zinley, you must create an account with accurate, current information. You are responsible for the following:
You may terminate your account at any time through your Settings dashboard. We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. Accounts inactive for more than one year may be deleted after prior notice.
You agree to use Zinley lawfully and in accordance with these Terms. The following activities are prohibited:
Zinley can make phone calls on your behalf. You are fully responsible for all calls placed through your account. The following uses of Zinley's calling feature are strictly prohibited:
Violations of these phone call restrictions may result in immediate suspension of calling privileges and account termination. Zinley reserves the right to report illegal call activity to the appropriate authorities.
These restrictions also apply when Zinley communicates through email, messaging, meetings, public contact cards, or other third-party channels.
You may use Zinley for commercial purposes subject to your subscription plan limitations. However, you may not resell, redistribute, or create derivative services based on Zinley without our written permission.
Zinley operates on your devices and connects through your messaging platforms. This requires the following responsibilities on your part:
Zinley can access and modify files available to the desktop app. Directory guardrails currently use a blocklist: when the guardrail is enabled, listed folders and their contents are blocked or require your approval, while unlisted paths remain available. You are responsible for configuring these controls, reviewing permission requests, and ensuring that actions comply with applicable law.
When Zinley makes calls on your behalf, you are responsible for ensuring those calls comply with applicable telecommunications laws and regulations in your jurisdiction. Zinley identifies itself as your AI assistant calling for you. Additional disclosures or consent may be required by local law or by the circumstances of a call.
Our full Privacy Policy is incorporated into these Terms by reference. The following summarizes key data practices:
We retain conversation history so Zinley can maintain context across sessions. We also keep limited operational logs, which may include request and response content, for reliability, debugging, safety, support, and security. Authorized personnel may access that information for those purposes or when required by law. Deletion follows the process described in our Privacy Policy; limited security, fraud-prevention, billing, deletion, backup, or legally required records may remain. File contents, hashes, and embeddings may be processed or retained when a feature needs them.
We use administrative, technical, and organizational safeguards, including encryption in transit and at rest where applicable, access controls, key management, and security review. See our Security page for current details.
This section outlines the ownership rights of each party regarding content and technology.
You must respect the intellectual property rights of third parties. Do not upload, share, or process content that infringes on others' copyrights, trademarks, or other intellectual property rights.
Zinley offers both free and paid subscription plans. The following terms govern billing and payments:
We may introduce additional plans or tiers in the future. New plans will be subject to these Terms unless otherwise specified.
Zinley is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
To the maximum extent permitted by law, Zinley shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.
Zinley's total liability for any claims arising from or related to Zinley shall not exceed the greater of: (a) the amount you paid us in the six months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify and hold harmless Zinley and its affiliates from any claims, damages, or expenses arising from:
These Terms remain in effect until terminated by either party. The following provisions apply:
A self-service deletion request begins a three-day grace period during which you may cancel the request. After the grace period, account access is disabled and supported agent data is erased through our deletion workflow. Limited account, billing, fraud-prevention, security, deletion, backup, or legally required records may remain. Sections that logically should survive, including disclaimers, liability limits, indemnification, and dispute resolution, will continue in effect.
Zinley's services are subject to U.S. export control and sanctions laws. By using Zinley, you represent that:
We encourage informal resolution of disputes before initiating formal proceedings.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. If you are a consumer, this does not deprive you of the protection of mandatory consumer-protection provisions of the law of your country of residence, and nothing in these Terms limits your right to rely on them.
Any disputes arising from these Terms shall be resolved in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction of these courts. If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings in your local courts, this section does not take that right away.
To the extent permitted by applicable law, you agree that any disputes will be resolved individually, not as part of a class action or collective proceeding, and you waive any right to participate in a class action lawsuit or class-wide arbitration. If the law of your jurisdiction does not permit this waiver, it does not apply to you, and the rest of these Terms remains in effect.
Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or acceptable use restrictions.
We may update these Terms from time to time to reflect changes in our services, applicable laws, or business practices.
Your continued use of Zinley after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and may terminate your account.
We recommend reviewing these Terms periodically to stay informed of any updates.
The following additional provisions apply to these Terms:
These Terms (including the Acceptable Use section above), together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Zinley regarding the Zinley service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without notice.
We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
If you are a U.S. government user, Zinley is provided as "commercial computer software" and "commercial computer software documentation" with only those rights as are granted to all other users under these Terms.
